Proxy voting records
Under National Instrument 81-106, mutual funds and ETFs in Canada are required to disclose their annual proxy voting results to investors each year by August 30th, covering the most recent 12-month period ending June 30th of that same year. Guardian Capital Funds and ETFs’ (the “Guardian Funds”) proxy voting results are available using the link below. Here you may review and search the proxy voting results in aggregate or by Fund:

Please note that there are no proxy voting results for certain Guardian Fund-of-Funds that invest their assets in other mutual funds or ETFs (the “underlying funds”), some of which may also managed by Guardian Capital LP. The underlying funds will vote the proxies of the securities held directly within their respective portfolios. Also, certain Guardian Funds may invest in securities such as derivatives, cash, money market instruments, bonds, and other similar instruments, where proxy voting may not be applicable due to the nature of such instruments. Typically, only mutual funds and ETFs that are equity funds, or funds that hold some equity securities in their portfolios, hold securities with voting rights. These funds are entitled to exercise the voting rights attached to those equity securities, such as shareholder resolutions for the election of directors, appointment of auditors, executive and director compensation, changes concerning the rights of shareholders, etc.

Guardian Capital LP, as the Manager of the Guardian Funds, has adopted written policies and procedures aimed to ensure all votes in respect of securities or other property of the Guardian Funds are made in the best interests of unitholders.

The Proxy Voting policies and procedures, as well as the proxy voting record of each Guardian Fund or ETF, for the most recent 12-month period ended June 30th, are available at no cost to any unitholder, at any time after August 30th of that same year, by contacting Guardian Capital LP.
